Summary of Financing Requirements and Investment Returns:
1. The UK start-up business requires loan/equity SEED INVESTMENT of up to £500k, which covers
1.1 £150K for full-beta technical development over four to six months virtual-data-room, web-tool, website creation and the first two years of operational costs, plus £160K for the creation of the first sets of due diligence written-guides. 1.2 engaging the key professionals as Integrity Capital Limited staff, including those creating the due diligence documentation.1.3 office space in central London, the hub of the investment markets, so to quickly and easily meet and contract the many prospective Partners. 2. The UK business should become profitable well within three years. 3. If targetting only the technology industries, in year three the EBITDA for the online business could be over £1m. with additional revenue from associated operations, partnerships and offline commissions. 4. This is a highly scalable business which can make money from multiple industries and all financial verticals, internationally. (Think bigger than the multimillion pounds profitable virtual deal rooms such as Imprima.com and Merrill Corporation's Datasite.com ...which IC will complement!). Investment Terms: 6. Seed Investments of a minimum £50K capital as equity will be considered.
6.1 All shares should be standard ordinary, at par, if invested soon. 7. An investor can be assured that if necessary, their money will not be spent until the agreed main capital-requirement is acquired. 8. Integrity Capital Limited wishes to have an option scheme for key staff of at least c.10% of the capital of the business. 9. As shown in the business plan and financials, Integrity Capital Limited is a start-up business. 10. To ensure a clean start for the investor, no pre-investment time and expenses will be claimed. 11. No shares have been formally assigned in the Articles of Association. 12. 100% of the ‘shares’ are currently held by CEO-Founder Simon John Gall, as Integrity Capital Limited is also a non-trading 'dormant' company: this ensures co-founder status for major investors. 13. Should the investor need to make commitment of additional capital for EU and/or international expansion into non-English speaking or western European/north American business practices, such as Brazil; China; India, the shareholding can be negotiated per regional investment. 14. The Founder Simon Gall is able and willing to relocate to build this business.
